Terms and Conditions of JIERP SaaS Application These Terms and Conditions ("Agreement") govern the access and use of the JIERP SaaS application ("Application") provided by JIERP Ltd. ("JIERP," "we," or "us"). By accessing or using the Application, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not access or use the Application. 1. Account Registration 1.1. In order to use the Application, you must create an account by providing accurate and complete information as requested during the registration process. You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. 1.2. You must be at least 18 years old to create an account and use the Application. By using the Application, you represent and warrant that you are at least 18 years old. 2. License 2.1. Subject to your compliance with these Terms and Conditions, JIERP grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Application for your internal business purposes. 2.2. You may not sublicense, distribute, sell, or lease any part of the Application or access to it to any third party without prior written consent from JIERP. 3. User Content 3.1. You may be able to submit, upload, or transmit content, including data, text, images, or other materials, through the Application ("User Content"). You retain ownership of your User Content, and you grant JIERP a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, and distribute your User Content for the purposes of providing and improving the Application. 3.2. You are solely responsible for your User Content and the consequences of submitting, uploading, or transmitting it. You represent and warrant that you have all necessary rights to grant the licenses and permissions described in these Terms and Conditions. 4. Prohibited Conduct 4.1. You agree not to use the Application for any unlawful or prohibited purpose, including but not limited to: a) Violating any applicable laws, regulations, or third-party rights. b) Interfering with or disrupting the integrity or performance of the Application. c) Reverse-engineering, decompiling, or disassembling the Application or any part thereof. d) Accessing or attempting to access any non-public areas of the Application without authorization. 5. Intellectual Property Rights 5.1. The Application and its content, including but not limited to text, graphics, logos, images, and software, are the property of JIERP and are protected by intellectual property laws. You may not reproduce, modify, distribute, or create derivative works based upon the Application without prior written consent from JIERP. 6. Disclaimer of Warranties 6.1. THE APPLICATION IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. JIERP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 7. Limitation of Liability 7.1. IN NO EVENT SHALL JIERP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE APPLICATION, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. 8. Termination 8.1. JIERP may terminate or suspend your access to the Application at any time, with or without cause, and without prior notice or liability. 9. Governing Law and Jurisdiction 9.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction where JIERP is incorporated. Any legal action or proceeding arising out of or in connection with these Terms and Conditions shall be exclusively brought in the courts of that jurisdiction. 10. Entire Agreement 10.1. These Terms and Conditions constitute the entire agreement between you and JIERP regarding the Application and supersede all prior or contemporaneous understandings and agreements, whether written or oral. Please read these Terms and Conditions carefully before using the JIERP SaaS Application. By using the Application, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
